Microsoft said IRS's notice was related to an ongoing dispute between the company and US tax authorities, which is auditing how Microsoft distributes its profits in different countries and regions.

Daniel Goff, vice president of Microsoft, wrote in a blog post:

Microsoft has changed its corporate structure and related operations since the year covered by the audit, so the questions raised by the IRS have nothing to do with current corporate operations. Microsoft has been working with the IRS for nearly a decade to solve the problem of how the company distributes revenue and expenses for tax purposes.

We firmly believe that our actions are in line with IRS rules and regulations, and that we can be supported by case law. We welcome the conclusion of the audit phase by the IRS, which will give us the opportunity to resolve tax disputes in the appeal of IRS, an independent arm of the IRS.

Microsoft also said that the $28.9 billion additional tax bill proposed by IRS does not include taxes paid under the tax cuts and Employment Act, which could reduce total taxes by as much as $10 billion.

Microsoft said it disagreed with IRS's findings and planned to argue it, first in IRS's internal procedures and then in court if necessary.
