CTOnews.com May 29 news, Ziguang Co., Ltd. issued the "Ziguang Major Asset purchase Plan", through the wholly-owned subsidiary Ziguang International Information Technology Co., Ltd. to pay cash to H3C Holdings Limited to buy the 48% stake in Xinhua Group Co., Ltd., and to pay cash to Izar Holding Co to buy the 1% stake in Xinhua Group Co., Ltd. Total purchase of 49% stake in Xinhua Group Co., Ltd.

CTOnews.com learned from the plan that HPE Cayman's 48 per cent stake in Xinhua was valued at $3428535816 (currently about 24.24 billion yuan), Izar Holding Co's 31 per cent stake in Xinhua was valued at $71464184 (currently about 505 million yuan), and Xinhua's 49 per cent stake was valued at $3.5 billion (currently about 24.745 billion yuan).

According to the fixed increase plan, Ziguang shares plan to issue shares to no more than 35 (including 35) specific targets who meet the requirements of laws and regulations, with a total amount of no more than 12 billion yuan and no more than 715 million shares to be used to acquire the three shares of Xinhua.

According to the shareholders' Agreement signed between Ziguang International and the counterparty to the transaction, Xinhua 3, from May 1, 2019 to April 30, 2022, HPE Cayman or the HPE entity with a stake in Xinhua 3 at that time may give notice to Ziguang International to sell all or part of its stake in Xinhua 3 to Ziguang International or a listed company.

The target company of this transaction provides one-stop digital solutions, including cloud computing, big data, artificial intelligence, industrial Internet, information security, intelligent connectivity, edge computing, as well as end-to-end technical services.
