CTOnews.com August 11, SMIC announced today that Dr. Zhao Haijun resigned as an executive director and appointed Academician Wu Hanming as a Class I independent non-executive director, a member of the Nomination Committee of the Board of Directors and a member of the Strategy Committee of the Company with effect from August 11,2022.

1. resignation of Executive Director

Dr. Zhao Haijun ("Dr. Zhao") resigned as an executive director of the Company (the "Director") with effect from 11 August 2022 in order to focus on discharging his duties as the Co-Chief Executive Officer of the Company. Zhao will continue to serve as the co-chief executive officer of the Company upon his resignation from the above positions. Zhao has confirmed that he has no disagreement with the Board and there are no other matters relating to his resignation as an executive Director that need to be brought to the attention of the Company

Attention shareholders. The Board would like to express its appreciation to Dr. Zhao for his valuable contribution to the Board.

2. Resignations of independent non-executive directors

Mr William Tudor Brown ("Mr Brown") resigned as an independent non-executive Director, chairman of the remuneration committee, member of the audit committee, member of the nomination committee and member of the strategy committee of the Board due to other commitments with effect from 11 August 2022.

Brown has confirmed that he has no disagreement with the Board and there are no other matters relating to his resignation as an independent non-executive Director that need to be brought to the attention of the shareholders of the Company. The Board wishes to express its appreciation to Mr. Brown for his valuable contribution to the Board.

3. Appointment of Independent Non-executive Directors, Nomination Committee Members and Strategy Committee Members

To appoint Academician Wu Hanming ("Academician Wu") as a Type I Independent Non-executive Director, a member of the Nomination Committee and a member of the Strategy Committee of the Board of the Company with effect from 11 August 2022.

Biographical notes of Academician Wu are as follows:

Academician Wu, aged 70, is an expert in microelectronic technology. He was elected academician of the Chinese Academy of Engineering in 2019. He is currently the dean of the School of Microelectronics of Zhejiang University, the dean of the National Demonstration Microelectronics College of the University of Science and Technology of China, the chairman of Zhejiang Chuangxin Integrated Circuit Co., Ltd., the independent director of Ruili Integrated Circuit Co., Ltd., BYD Semiconductor Co., Ltd., and Tuojing Technology Co., Ltd.(listed on the Shanghai Stock Exchange: 688072) and an independent director of Northern Huachuang Technology Group Co., Ltd.

Academician Wu served as senior engineer of Intel Corporation from September 1999 to August 2001, technical director, vice president and consultant of R & D Department of SMIC Manufacturing Co., Ltd. from August 2001 to October 2018, and executive director of Xinchuangzhi Innovation Design Service Center (Ningbo) Co., Ltd. from October 2017 to February 2021.

Academician Wu has worked in China's integrated circuit industry for a long time and made outstanding contributions. Academician Wu published 116 works and papers and was granted 67 invention patents. Academician Wu was awarded the first "Beijing Scholar" and won the titles of "Top Ten National Excellent Scientific and Technological Workers" and "National Outstanding Professional and Technical Talents." He was also the chairman of the China Semiconductor Technology International Conference (CSTIC).

Academician Wu received his doctorate from Institute of Mechanics, Chinese Academy of Sciences in 1987.

CTOnews.com learned that Academician Wu Hanming has worked in China's integrated circuit chip industry for a long time and made outstanding contributions, according to the website of Academician Hall of Chinese Academy of Engineering. He presided over and participated in the research and development of the seventh-generation chip production technology from 0.13 micron to 14 nm, including major national projects, and overcome a series of key process difficulties including etching, which significantly narrowed the gap with the world advanced level. A theoretical model is used to support the development of china's first large-scale plasma etching machine. A public platform for designing IP core technology has been created to support the coordinated development of chip manufacturing industry chain. The non-equilibrium low temperature plasma mixing model/bulk model established is adopted as a teaching plan in textbooks of world famous universities. As the chief scientist of Project 973, he is responsible for "R & D of quantum dot memory and magnetic memory technology".
