Evernote to be acquired by mobile developer Bending Spoons

CTOnews.com, November 17 (Xinhua)-- Evernote, a well-known note-taking app, will have a new owner. The notepad app will be acquired by Italian mobile developer Bending Spoons, and the deal will take place early next year, the company announced on Wednesday.

As part of the acquisition, Evernote will join Bending Spoons's existing lineup of applications, including video editing application Splice and artificial intelligence image enhancement application Remini. Evernote CEO Ian Small said the deal will allow the company to take advantage of Bending Spoons's "mature application expertise and extensive patented technology" to focus on building new features.

"We thank our customers and employees and are excited to work with Bending Spoons," Small said in a statement. "this strategic acquisition means extensive and accelerated improvements in our team, professional, personal and free products, which is good news for Evernote enthusiasts everywhere."

CTOnews.com learned that Evernote, launched in 2008, was hugely popular as one of the first notepad applications. However, in recent years, with the introduction of similar productivity applications such as Notion, the application has encountered strong challenges. It also came under fire in 2016, when it almost implemented a new privacy policy that allows employees to view users' content. Although the company ultimately did not implement the policy, other issues kept some users away from the platform, including restrictions on the free version, Evernote upgraded to version 10 in 2020, and users complained because the app removed some features and many users reported cross-device performance problems that Evernote is still working on.

It is worth mentioning that impression Notes issued a statement that in June 2018, impression Notes was officially split and reorganized from Evernote in the United States, and permanently owns App, all source code of other related products and services and other intellectual property rights, becoming an independent technology company rooted in China. In March 2021, with the completion of round B financing, the corporate governance structure and ownership structure of impression Notes were further optimized, and the Chinese management team of impression Notes became the largest shareholder and actual controller of the company, together with Chinese investors, have absolute control and management rights over the company. Evernote of the United States retains only a small stake.

Since 2018, impression Notes and Evernote have been separated into two completely independent corporate entities, with different shareholders, domicile, operating entities, operating areas, and products and services provided; the two companies make decisions, manage and operate independently of each other; and servers and data stores are completely independent and separate from each other. All the service deployment and data storage of impression Note Company are located in China and are completely managed and maintained by impression Note Company. This acquisition will not have any impact on impression Notebook's services and data. It should be emphasized that "impression Notes" and "Evernote" are two independent brand trademarks and services. "impression Notes" is not used as a Chinese translation of "Evernote" trademarks or services.

Impression Note Company will not be affected by the changes of American Evernote Company in the aspects of corporate governance, business strategy, brand IP, product operation and so on.
