The use of non-GAAP financial indicators.

The results of non-GAAP are used only as a supplement to the financial statements of the United States generally accepted Accounting principles (GAAP). The purpose of providing non-GAAP financial information is to enhance readers' understanding of our financial performance. However, these non-GAAP financial indicators cannot be regarded as generally accepted terms under GAAP, so they should not be regarded as independent or a substitute for financial indicators calculated on the basis of the following standards. The schedule attached to IHS Markit's quarterly earnings release provides definitions and reconciliations of non-GAAP indicators (such as earnings before interest, taxes, depreciation and amortization, adjusted net income, adjusted earnings per share and free cash flow) and the most directly comparable GAAP indicators. The investor relations section of the company's website.

We use non-GAAP measures in operational and financial decisions. We believe that such measures enable us to focus on performance indicators of ongoing operations that we consider more reliable, as well as our ability to generate cash flow from operations. We also believe that, for the same reason, investors may find these non-GAAP financial indicators useful, although non-GAAP financial indicators cannot replace GAAP financial indicators or disclosures. These non-GAAP financial indicators are not generally accepted terms under GAAP and are not intended to replace any other GAAP indicators.

Securities analysts, investors and other interested parties often use non-GAAP measures when evaluating IHS Markit companies, and many of them use non-GAAP measures when reporting performance. These metrics are useful for assessing our performance relative to our peers because we believe they can provide users with valuable insights into key components of GAAP financial disclosure. However, measures of non-GAAP as analytical tools have their limitations. Since not all companies use the same calculation method, our statement of non-GAAP financial indicators may not be able to compare with other indicators with similar names of other companies. They are not introduced in accordance with GAAP, nor are they a measure of financial position or liquidity, and should not be seen as an alternative to current profit or loss determined under GAAP or operating cash flow based on GAAP. Therefore, you should not consider such performance indicators separately from operating results determined in accordance with GAAP, nor should they be used as an alternative analysis.
